Agreement to Terms
These Terms of Service constitute a legally binding agreement between you and Yavonix regarding your access to and use of the yavonix.com website and our manufacturing analytics platform services. By accessing or using our services, you agree to be bound by these Terms.
Service Description
Yavonix provides a cloud-based manufacturing analytics platform that enables small manufacturing enterprises to monitor quality metrics, analyze production data, and identify operational improvements. Our services include data visualization dashboards, reporting tools, and training resources.
Account Registration
To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the services in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our services
- Upload malicious code, viruses, or harmful content
- Use the services to transmit spam or unsolicited communications
- Reverse engineer, decompile, or disassemble our software
Data Ownership and License
You retain all ownership rights to the production data you upload to our platform. By uploading data, you grant us a limited license to process, store, and analyze that data solely for the purpose of providing our services to you. We will not use your data for any other purpose without your explicit consent.
Intellectual Property
The Yavonix platform, including all software, algorithms, user interfaces, and documentation, is owned by Yavonix and protected by intellectual property laws. These Terms do not grant you any ownership rights to our intellectual property. You receive only a limited license to use our services as described in these Terms.
Service Availability
We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications that temporarily affect service availability. We are not liable for any interruptions or disruptions to service availability.
Fees and Payment
Certain features of our platform require payment of subscription fees. All fees are stated in Japanese Yen and are exclusive of applicable taxes. Payment terms are specified in your service agreement. We reserve the right to modify our pricing with advance notice to existing customers.
Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to our services if you violate these Terms or for other legitimate business reasons. Upon termination, your right to use our services ceases, and we may delete your account data in accordance with our data retention policies.
Warranties and Disclaimers
Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will meet your specific requirements or that they will be error-free or uninterrupted. You use our services at your own risk.
Limitation of Liability
To the maximum extent permitted by law, Yavonix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall not exceed the fees you paid to us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Yavonix from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
Governing Law
These Terms are governed by the laws of Japan. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
